This policy applies to all services offered by Theotaxis Software Solution — including custom software development, professional services, licensed or hosted software, subscriptions, integrations, and support — unless a signed Statement of Work (SOW), order form, or quote letter agreed in writing states otherwise.
By using our website, requesting a quote, signing an SOW, or accessing hosted software, you agree to these Terms. Our services are intended for businesses and authorized users acting on behalf of a business. You represent that you have authority to bind your organization.
If there is a conflict between these website Terms and a signed SOW, order form, or written quote accepted by both parties, the signed document controls for that engagement.
Theotaxis provides software development, integration, consulting, maintenance, hosting, and subscription access as described on our website, in proposals, or in an SOW. Features and scope vary by product line (custom solutions, licensed rollouts, and SaaS modules).
You may not misuse our services: no unauthorized access, scraping at scale, malware, illegal content, or interference with other clients. We may investigate and suspend or terminate access for violations.
Theotaxis and its licensors own the platform, documentation, and pre-existing IP. Client data and business content remain yours. You grant us a limited license to host and process client data solely to provide the services.
Each party will protect the other's confidential information with reasonable care and use it only for the engagement. Exclusions apply for public information and legally required disclosures.
Integrations with third-party products (accounting, messaging, payment, cloud) are subject to those providers' terms. We are not responsible for third-party outages or policy changes outside our control.
Except as stated in a signed SOW, services are provided "as is" to the extent permitted by law. We disclaim implied warranties. Our aggregate liability for claims arising from an engagement is limited to the fees paid by you to Theotaxis for that engagement in the twelve (12) months before the claim, unless otherwise required by law or agreed in writing.
Projects terminate per the SOW. Subscriptions terminate at period end or as specified in the order form. On termination, access may cease; export or return of data may be offered per the SOW or applicable law.
These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to mandatory consumer protections if applicable.
